Licence agreement

The terms on which InterMic, InterTone and InterComp are licensed to you.

[DRAFT: adapted from InterDirector's licence agreement. Bracketed parts wait on open decisions; the whole is to be checked before launch.]

This agreement is between Interwebbi Solutions, Liinakonkatu 12 B 9, 33580 Tampere, Finland (Business ID 3133828-2), called "we", and you, the person or organisation that holds the licence, called "you". It covers the plug-ins InterMic, InterTone and InterComp and their updates, each called "the plug-in". By installing or using a plug-in, starting its trial or entering a licence key, you accept it. Nothing in it takes away a right you have as a consumer under mandatory law.

1. What you are given

We give you a non-exclusive, non-transferable right to use each plug-in you have a licence for on up to two computers at a time, with no end date, for your own work or your clients'. If you are an organisation, its own staff and contractors may use it on those computers. The plug-ins are licensed, not sold. We keep every right in them that this agreement does not give you.

2. Your licence key and your computers

  • A paid licence comes with a licence key. It is yours, and is not to be shared, sold, published or used by anyone outside your licence.
  • A key works on two computers at once. You can free one at any time, from the plug-in's menu or in the customer portal of our payment provider, and use the freed place for another computer.
  • We may end a key that is used against this agreement, for example one that is shared or resold, after telling you why.

3. The free trial

Each plug-in can be tried for 14 days on each computer, without a key and without giving any details. During the trial everything works. When the trial ends, the plug-in mutes its output at once, even in a running session, and its window says the trial is over, with a link to buy a licence. Activate a licence before you rely on a plug-in in a show.

[AS BUILT: how the start of a trial is recorded, and what is sent to do it.]

4. How long your licence lasts

Your licence has no end date, and every update is free for as long as you have it.

A licence ends when it is refunded, or when we end it under section 12.

5. Activating, and working offline

A key is activated once, over the internet, through our licence service, which asks our payment provider. The plug-in then keeps a signed record of the activation on the computer, shared by every copy of every plug-in on it, and needs the internet no more. When the internet is there, the record is refreshed now and then; only a definite answer that the licence was refunded or ended makes it lapse.

Once its trial has ended, a plug-in without a valid licence mutes its output until a licence is activated. Nothing else about the sound depends on the licence: a licensed plug-in processes exactly as it did in its trial.

6. What the plug-ins send, and what they do not

To activate and refresh a licence, a plug-in sends your licence key and a code worked out from the computer, which cannot be turned back into anything about it, to our licence service. The update check asks our website whether a newer version exists and sends nothing about you. Nothing about your sessions, your audio or how you use the plug-ins is ever sent. Your internet address is visible to the service, as on any connection. Details are in our privacy notice.

7. What you may not do

You may not, except as mandatory law allows despite this agreement:

  • copy a plug-in, other than to make a backup and to install it on your licensed computers;
  • change, decompile or reverse engineer it, except to the extent the law gives you the right to, after asking us first for the information you need;
  • remove, hide or get round the licence check or the trial's limits;
  • rent, lend, sublicense or resell a plug-in or a licence key;
  • use a plug-in to break the law or someone's rights.

8. What is yours, and what is ours

Everything you make with the plug-ins is yours: your mixes, recordings and presets. We claim no right in them. The plug-ins themselves, their names and the Interwebbi logo are ours. VST is a registered trademark of Steinberg Media Technologies GmbH; Apple, Mac, macOS, Audio Units and Logic Pro are trademarks of Apple Inc.

9. Other people's software in the plug-ins

The plug-ins include software from others, under its own licences, listed on the third-party notices page. Where such a licence gives you more than this agreement does, it applies to that part.

10. Updates

A plug-in checks for updates once a day and tells you when there is one. It never installs anything itself. Updates are covered by this agreement and are free, and we may add, change and remove features. What changes in each version is in the release notes.

11. Support, faults, and what we are responsible for

Support. Write to [email protected]. We fix reported faults as soon as we reasonably can. We do not promise a reply time or a date for a fix.

As it is. The plug-ins are provided "as is" and "as available", with no warranty of any kind: not that they are free of faults, not that they run without interruption, and not that they suit your purpose. Live sound is unforgiving: test your own setup before an important show.

What we are liable for. To the extent the law allows, we are not liable for any loss or damage from using the plug-ins or from not being able to use them, direct or indirect, including lost profit, a lost or spoiled show or recording, or lost data. Where the law does not let us exclude a liability, it is limited, as far as the law allows, to what you paid for the licence in the twelve months before it happened.

Nothing in this agreement limits liability the law does not allow us to limit, such as for intent or gross negligence, or the rights a consumer has under the law on digital content, including the right to have it in conformity with what was promised.

12. Ending this agreement

You may stop using the plug-ins at any time. We may end your licence if you break this agreement in a way that matters, and do not put it right within a reasonable time after we ask you to.

13. Personal data

How we handle personal data for licences and updates is in our privacy notice. Buying is described in the terms of sale.

14. Changes to this agreement

We may change this agreement for a later version of the plug-ins. A change does not apply to what you have already paid for, unless the law requires it or it is to your advantage.

15. Law and disputes

This agreement is governed by Finnish law. If you are a consumer, you may also rely on the mandatory consumer protection of the country where you live, and take a dispute to the courts there. A dispute with a business customer is heard in the Pirkanmaa District Court (Pirkanmaan käräjäoikeus) in Tampere, Finland.
